1. Agreement & acceptance

MedTech North (operated by MedTech North, “MedTech North”, “we”, “us” or “our”) provides a curated network and directory for Canadian health innovation. By accessing the website, and in particular by checking the acknowledgement box and submitting a partner profile, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree with these Terms, do not submit a profile or use the website. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and “you” refers to both you and that organization.

2. Definitions

• “Partner” / “you”: an individual or organization invited to submit, or who submits, a profile to be listed in the MedTech North ecosystem directory.
• “Submission”: all information and materials you provide, including your name, role, company or organization details, services, biography, contact details, links, images, videos, pitch decks, documents and any other content.
• “Listing”: a Submission that has been reviewed and published by us on the public directory.
• “Website”: the MedTech North website at https://medtechnorth.ca and its subpages, including the directory and the application form.

3. Eligibility & authority

The directory is a curated, invitation-based network. Submitting a profile does not entitle you to be listed. To submit, you must be at least the age of majority in your province or territory of residence and legally able to enter into a contract. Where a Submission concerns a company or organization, you confirm you are authorized to represent it and to grant the licence in section 6 on its behalf.

4. Partner listings & what you submit

When you apply, we invite you to provide details about yourself, your company or organization, your services, and optionally to upload documents, images and videos (including a biography, links, a pitch deck or a demo video). You decide what to include; only the minimum fields marked as required must be completed.

You should assume that everything you submit for your Listing, other than fields we expressly describe as private (such as the contact email used for review and follow-up), may be published and made publicly accessible as described in section 7. Do not submit anything you are not willing to have shown publicly.

5. Accuracy & your representations

By making a Submission, you represent and warrant that:

• the information you provide is true, accurate, current and not misleading, and you will keep it up to date or ask us to update or remove it;
• you own, or have all necessary rights, licences and permissions to submit, the content in your Submission and to grant the licence in section 6;
• your Submission, and our publication of it, does not and will not infringe or violate any third party’s intellectual-property, privacy, publicity, confidentiality or other rights, or any law;
• where your Submission includes any individual’s personal information or likeness (for example, in a photo, video or document), you have obtained that individual’s consent for it to be submitted and published; and
• you are not subject to any restriction (contractual, regulatory or otherwise) that would prevent you from submitting the content or being listed.

6. Licence you grant to us

You retain ownership of your Submission. You grant MedTech North a non-exclusive, worldwide, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt (for length, formatting, and display only), publish, publicly display, distribute, and make available your Submission for the purposes of operating, promoting and marketing the MedTech North network and directory, across our website, communications, publications and social channels.

This licence includes the right to make your Listing publicly accessible and to allow it to be indexed by search engines (see section 7), and to engage service providers (for example, hosting, storage and email providers) to help us deliver these services. The licence continues while your Listing is published and for a reasonable period afterward to the extent needed for back-ups, records, and removal from caches. You may end the licence on a going-forward basis by removing your Listing as described in section 10.

7. Public listing & search-engine indexing

Your Listing is public. When published, your profile, including your name, role, company or organization, services, biography, links and any images, videos or documents you chose to include, is visible to any visitor to the website, is included in our public directory index, and may be crawled and indexed by search engines such as Google and surfaced in their search results.

This public visibility is the purpose of the directory, and by submitting and acknowledging these Terms you consent to it. Once content is public, others may view, copy, cache, share or reference it. Even after a Listing is removed, copies may persist in search-engine caches, archives or third-party services that we do not control; while we will remove your Listing from our website on request (section 10), we cannot guarantee removal of copies held by third parties. If you would like content de-indexed from a search engine after we have removed it, you may need to make a request directly to that search engine.

8. Acceptable use & prohibited content

You agree not to submit content, or use the website, in any way that:

• is unlawful, fraudulent, deceptive, or misleading;
• infringes intellectual-property rights or misappropriates trade secrets, or discloses confidential information you are not permitted to share;
• is defamatory, harassing, hateful, discriminatory, obscene, or invasive of another’s privacy;
• contains another person’s personal information without their consent;
• contains malware, or attempts to gain unauthorized access to, disrupt or interfere with the website, its security, or other users; or
• makes health, medical, clinical, regulatory or investment claims that are false, unsubstantiated, or that you are not authorized or qualified to make.

You are solely responsible for your Submission. We do not endorse, and are not responsible for, the accuracy of Submissions, and inclusion in the directory is not a certification, endorsement or recommendation of any partner, product or service.

9. Review, curation & no guarantee of listing

Every Submission is reviewed by a person before it may be published. We may, at our sole discretion and without obligation to give reasons: accept, decline, edit for length or formatting, request changes to, unpublish, suspend or remove any Submission or Listing at any time. We may also decline to publish or may remove content we reasonably believe breaches these Terms or could expose us or others to legal risk. We do not guarantee that any Submission will be listed, that a Listing will remain available, or that the network will produce any particular introduction, opportunity or outcome.

10. Withdrawal & removal of your listing

You may withdraw your consent and ask us to remove or unpublish your Listing at any time by contacting us at privacy@medtechnorth.ca. We will action reasonable removal requests within a reasonable time. Removal applies going forward and does not affect the lawfulness of processing or publication before removal. As noted in section 7, third-party copies and search-engine caches are outside our control.

11. Our intellectual property

The website, its design, text, graphics, the MedTech North name and marks, and all related intellectual property (excluding your Submission) are owned by or licensed to us and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the website for its intended purpose. You may not copy, reproduce, scrape, republish or create derivative works from the website or another partner’s Listing without permission.

12. Privacy & communications

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. If you separately consent to receive commercial electronic messages from us (for example, about dinners, membership or events), you may withdraw that consent and unsubscribe at any time using the link in any such message or by contacting us; we honour unsubscribe requests promptly and in any event within the time required by Canada’s Anti-Spam Legislation (CASL).

13. Disclaimers

The website and directory are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the website will be uninterrupted, secure or error-free. Nothing on the website is legal, financial, medical or other professional advice. Nothing in these Terms excludes or limits any warranty, right or remedy that cannot be excluded or limited under applicable consumer-protection or other law.

14. Limitation of liability

To the fullest extent permitted by law, MedTech North and its directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the website, the directory, your Submission or these Terms, whether based in contract, tort (including negligence) or otherwise, even if advised of the possibility of such damages. To the extent we are found liable, our total aggregate liability arising out of or relating to these Terms will not exceed one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing here limits liability that cannot be limited by law.

15. Indemnification

You agree to indemnify and hold harmless MedTech North and its representatives from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your Submission, your use of the website, your breach of these Terms, or your violation of any law or third-party right, including any claim that your Submission infringes or violates the rights of a third party.

16. Changes to these Terms

We may update these Terms from time to time. The version and effective date at the top of this page indicate the current version. When we make material changes, we will take reasonable steps to notify affected partners and, where appropriate, seek renewed acknowledgement. Your continued use of the website, or a continued Listing, after changes take effect constitutes acceptance of the updated Terms. We keep a record of the version of these Terms that you acknowledged when you submitted your profile.

17. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to the following sentence, you agree to the non-exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to these Terms. Nothing in this section deprives you of the protection of the mandatory consumer-protection laws or of the courts of the province or territory where you reside, where such protections apply and cannot be waived.

18. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about their subject matter and supersede prior discussions.
• Severability. If any provision is found unenforceable, the rest remain in effect and the provision will be modified to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of our business.
• Survival. Sections that by their nature should survive termination (including sections 5, 6, 7, 11, 13, 14, 15 and 17) survive.
• Language. Où la loi le permet, les parties conviennent que ces conditions soient rédigées en anglais. Where the law permits, the parties agree that these Terms be drafted in English.
